These Terms & Conditions ("Terms") govern your use of Webbot ("Service"), provided by fKodeLabs ("we", "us", "our"). By creating an account, embedding the widget, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Who we are
Webbot is operated by fKodeLabs (https://www.fkodelabs.com). You can reach us at support@fkodelabs.com.
2. Eligibility & authority
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. If you accept these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation.
3. The Service
Webbot provides an embeddable AI chat and voice assistant, a knowledge base ingestion pipeline, lead capture tools, analytics, and integrations (collectively, the "Service"). Features available to you depend on the plan you select.
4. Accounts & accuracy
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and keep it up to date.
5. Acceptable use
You must not, and must not allow any third party to:
- use the Service for any unlawful, fraudulent, or harmful purpose;
- send spam, phishing, or unsolicited bulk messages through the Service;
- infringe any third party's intellectual property, privacy, or other rights;
- upload malware, attempt to gain unauthorised access, probe, scan, or otherwise interfere with the security or integrity of the Service;
- scrape, reverse engineer, or attempt to derive the source code of the Service except to the extent permitted by law;
- resell, sublicense, or redistribute the Service without our prior written consent;
- generate or distribute deepfakes, hate speech, harassment, sexual content involving minors, or other content prohibited by law or our acceptable use policy.
6. Your content & customer data
You retain ownership of the knowledge base content, prompts, conversations, and lead data you submit ("Customer Data"). You grant us a limited, worldwide, non-exclusive licence to host, process, transmit, and display Customer Data solely to provide and improve the Service for you. You are responsible for having the necessary rights and consents to submit Customer Data and for ensuring your end users are informed about the assistant.
7. AI outputs & accuracy
The Service uses large language models and other AI systems. Outputs may be inaccurate, incomplete, or unsuitable for a particular purpose. You are responsible for reviewing outputs before relying on them, and the Service must not be used as a substitute for regulated professional advice (legal, medical, financial, or otherwise). You are responsible for your prompts, how you use outputs, and verifying their accuracy.
8. Intellectual property
We and our licensors own all right, title, and interest in and to the Service, including the software, documentation, branding, models, and configuration. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service during your subscription term.
9. Third-party services & BYO keys
The Service integrates with third-party subprocessors: OpenRouter (AI inference), Mistral (embeddings), Pinecone (vector search), Tavily (web search), and Dodo Payments (payment processing). When you connect your own API keys or accounts, your use of those services is governed by the relevant third party's terms. We are not responsible for third-party services and may suspend integrations that fail, breach policy, or are deprecated.
10. Plans, billing & payment (draft — pending legal review)
Paid plans are billed in advance per seat/bot/credit allowance shown on the pricing page. Subscription fees are collected by our payment processor, Dodo Payments, and Dodo issues the tax invoice for every payment. Plan credits are a usage allowance, not money: they carry no cash value, cannot be redeemed for cash, and unused subscription credits expire at the end of each billing period. Prepaid top-up credits are valid for 12 months from purchase. Taxes (including GST where applicable) are charged in addition to the listed prices unless stated otherwise.
11. Refunds & cancellation (draft — pending legal review)
You may cancel your subscription at any time with effect at the end of the current billing period; your paid access continues until then and no further charges are made. Subscription fees already charged are non-refundable except where required by law. As a goodwill gesture we review refund requests made within 7 days of purchase where the Service materially failed to work as described — contact support@fkodelabs.com and we will review your case individually. Deleting your account stops future billing but does not by itself refund past charges; cancelling an active subscription before deletion is your responsibility.
12. Suspension & termination
We may suspend or terminate your access if you materially breach these Terms, fail to pay amounts due, pose a security or fraud risk, or repeatedly violate our policies. On termination, your right to use the Service ends and we may delete Customer Data after a reasonable export window.
13. Warranties & disclaimers
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI outputs will be accurate.
14. Limitation of liability
To the maximum extent permitted by law, our aggregate liability arising out of or in connection with these Terms is limited to the fees you paid us for the Service in the 12 months preceding the claim. We are not liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, goodwill, or revenue. Nothing in these Terms excludes liability that cannot be excluded by law.
15. Indemnity
You will indemnify and hold us harmless from any claim, loss, or expense arising from your Customer Data, your end users, your use of the Service in breach of these Terms, or your violation of applicable law.
16. Governing law & disputes
These Terms are governed by the laws of United Arab Emirates, without regard to conflict of laws principles. The courts of United Arab Emirates have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.
17. Changes
We may update these Terms from time to time. Material changes will be notified through the Service or by email. Continued use after the changes take effect constitutes acceptance.
